SOHU.COM SHELF REGISTRATION STATEMENT ON NOTES DECLARED EFFECTIVE BY SEC.

SOHU.COM Inc. (Nasdaq: SOHU), China's leading online media, communications, commerce and mobile value-added services company, announced today that the United States Securities and Exchange Commission (SEC) has declared effective SOHU's shelf registration statement on Form S-3. SOHU filed the registration statement to register for resale its Zero Coupon Convertible Senior Notes due 2023, issued in July 2003 in a private placement, and the shares of common stock into which the notes are convertible.
