In 2002, there were three large acquisitions:

* On October 1, 2002, Rayovac Corp. completed its acquisition of the consumer battery business of Varta AG for an aggregate purchase price, of approx. $258 million. Varta is the leading European-based battery manufacturer of general batteries, is the market leader in Germany and holds strong market positions elsewhere on the European continent as well as in Colombia and Mexico. Rayovac's acquisition consisted of the purchase of all of Varta's consumer battery subsidiaries and business outside of Germany and a majority interest in a new joint venture entity that will operate the Varta consumer battery business in Germany.
