Court to Hear Federated Poison Pill Case Monday
A pivotal decision in the battle between Campeau Corp. and R.H. Macy & Co. for control of Federated Department Stores could come late Monday in Federal Court.
Judge Leonard B. Sand will hear arguments on Campeau's bid to disarm Federated's poison pill and put its tender offer on an even plane with the one Macy's is proposing. Federated's board has accepted Macy's offer and has agreed to deactivate the pill as it pertains to Macy's. Federated has not, however, done the same for Campeau.
Macy's and Campeau's are both two-tier offers. The principal difference is that Macy's is offering stock in the back end, while Campeau's offer is all cash. Macy's has offered $74.50 a share for about 80...
