Why independence is in the mind and not the numbers.(Brief Article)

The Australian Stock Exchange's Best Practice Recommendations may not be suitable for all businesses. The guidelines stipulate that at least half of a board's directors should be independent. This is not necessarily beneficial for all businesses according to Eric Mather of BT's Governance Advisory Service. Mather says there is a danger that companies will adhere to the standards merely so that others perceive that they are doing the right thing. A board must be composed in a way that is best for the company, so independence should not necessarily be valued over experience.
