Spending a year working on a system swap for Newhouse Broadcasting Corp.'s suburban Chicago systems was well worth the effort for Tele-Communications Inc. With 488,000 subscribers in metro Chicago - 37 percent of the local cable homes - TCI was already a big player in the market. Adding Newhouse's 97,000 subscribers played right into the MSO's desire to boost its concentration in local markets.

Newhouse and TCI cleared the hurdles that commonly snarl system swaps. But after working for months, the swap nevertheless succumbed to an unexpected complication: New-house decided to merge its whole operation into Time Warner Cable Inc. Back to square one.
