PENDING AMERITECH MERGER CRITICIZED.

LANSING - Voting has begun on the creation of a global telecommunications giant. Shareholders of Chicago-based Ameritech Corp., by phone, mail and Internet, are choosing whether or not Ameritech should merge with Texas-based SBC Communications Inc., creating what Ameritech says will be the nation's third-largest local phone company.
Ameritech has scheduled a Dec. 11 special meeting in Chicago for a formal vote. One day prior, SBC shareholders will meet in San Antonio to decide whether SBC common stock should be issued to Ameritech shareholders. But even as shareholders cast votes, the deal faces several hurdles.
