The pending merger of Southfield-based Franklin Bank (Nasdaq: FSVB) with Birmingham-based Bingham Financial Services Corp. (Nasdaq: BFSC) could be in flux following results of a Franklin board election announced Friday. Two directors nominated by dissident shareholders against the Bingham deal, Irving Beimler and Damian Howard, were elected.
But Franklin management kept a working majority of four members on the seven-member board favoring the deal: Chairman David Simon, Edgar Fenton, William Murcko and Dean Friedman. Only one of two previous directors up for election who were against the Bingham deal, Herbert Glass, was reelected to the board.
