Noble swaps 40% stake for Arcelor Mittal unit in $300M merger deal.(News)

Byline: Brent Snavely Noble International Ltd. (Nasdaq: NOBL) said Friday that it has signed a share purchase agreement that would give Arcelor Mittal, the world's largest steel producer, a nearly 40 percent stake in Noble in a deal worth about $300 million. Noble, in return, will acquire Tailored Blank Arcelor, a $540 million division of Luxembourg-based Arcelor Mittal that makes laser-welded blanks.

Noble plans to issue 9.3 million shares of new common stock, at $18 a share, and will pay $131 million in cash and assumption of Tailored Blank Arcelor debt. The companies had previously announced a binding letter of intent on Oct. 27 to combine their businesses.
