Georgia-Pacific to Buy Berwyn, Pa.-Based Paper Distribution Firm.

May 26 -- Unisource Worldwide, the Berwyn-based paper distribution company, said yesterday it had agreed to accept Georgia-Pacific Corp.'s purchase offer over a competing bid from UGI Corp. and will move its headquarters to Atlanta within a year.

Georgia-Pacific said it will pay $12 a share, or $840 million in cash, and assume $400 million in debt. The deal with UGI would have been generated about $10 a share.

"There were two major issues we had to look at," said Unisource spokeswoman Martha Buckley. "The $12 cash offer was a greater financial value for our shareholders. There was also uncertainty of whether UGI shareholders would vote in favor of the merger."
