Apr. 7--The Royal Bank of Scotland has done a terrific job in delivering on the promises it made a year ago when it bought NatWest. Shareholders have much to be grateful for.

So much, if you were to believe chairman designate Sir George Mathewson and his soon to be chief executive Fred Goodwin, that they should be allowed to trample over basic principles of corporate governance.

Much of the criticism focuses on plans to pay themselves big bonuses for simply executing the takeover. The politics of this has not been helped by Mathewson's contemptuous dismissal of the issue.
