Boardroom Turmoil, Ratings Weakness, Talent Defection Make Disney Vulnerable.

Feb. 12--Walt Disney Co. seemed to have all its ducks in a row Wednesday when it reported fiscal first-quarter earnings that impressed traders on Wall Street.

The company's movie business weighed in with a solid performance. Disney's theme park business rebounded from a weak economy and widespread fears of terrorist attacks. The company appeared to have rediscovered its lost touch for making animated feature films with "Finding Nemo."

So how does Disney find itself vulnerable to takeover? Many long-simmering problems remain.
