PacifiCare Health Systems to acquire American Medical Security Group.

Sep. 16--Anticipating major growth in the small group and individual health insurance market, PacifiCare Health Systems said Wednesday it will buy Green Bay-based American Medical Security Group for more than $530 million in cash and assumed debt.
AMS, with 1,400 employees, specializes in selling small group and individual health insurance products in 33 states. The company had $712 million in premium revenue last year.
Under the terms of the deal, Cypress, Calif.-based PacifiCare will pay $32.75 in cash for each share of AMS common stock, amounting to a purchase price of approximately $502 million.
