PROPOSED CHANGES TO INVESTMENT POLICY AND MANAGEMENT AGREEMENT
Background
The Board regularly reviews the strategy and direction of the Company with the
objective of ensuring that it continues to satisfy the aims and needs of
shareholders and remains an attractive vehicle for potential new investors. The
Company's performance record, particularly over the last two years, has been
good (the NAV rising 69.7% versus the company's benchmark, up 46.2%*) but the
Directors are conscious that the Company's shares have traded at a wider
discount than the average of its peer group in the last twelve months.
