At the Company's Annual General Meeting held on 23 November 2006 all 
resolutions were duly passed. 
 
The resolutions passed under Special Business were as follows: 
 
An Ordinary Resolution to approve the continuation of the Company as an 
investment trust until the conclusion of the annual general meeting of the 
Company to be held in 2011 or any earlier date if so required under the 
Articles of Association. 
 
As permitted under the Articles of Association, an Ordinary Resolution to 
approve the increase in the maximum aggregate annual fees payable to Directors 
from [pounds sterling]70,000 to [pounds sterling]100,000. 
 
- An Ordinary Resolution granting the Directors authority to allot relevant
