THIS AMENDING AGREEMENT made the 14th day of May, 2007, 
 
BETWEEN: 
 
XSTRATA PLC, 
 
a corporation existing under the laws of England and Wales, 
 
(hereinafter called "Xstrata"), 
 
- and - 
 
XSTRATA CANADA ACQUISITION CORP., 
 
a corporation existing under the laws of Canada, 
 
(hereinafter called "Offeror"), 
 
- and - 
 
LionOre mining international ltd., 
 
a corporation existing under the laws of Canada, 
 
(hereinafter called "LionOre"). 
 
WHEREAS Offeror mailed the Circular dated April 5, 2007 including the Offer to 
purchase all outstanding Common Shares of LionOre in accordance with Section 
2.1(b) of the Support Agreement dated March 25, 2007 entered into between 
Xstrata, Offeror and LionOre (the "Support Agreement");
