TRANSFER OF TREASURY SHARES 
 
In accordance with the provisions of Listing Rule 12.6.4, the Board of Hays plc 
advises that on 18 May 2007 it transferred a total of 174,899 Ordinary Shares 
currently held in Treasury to satisfy awards as follows: 
 
Hays plc 1995 Executive Share Option Scheme: 104,171 shares 
 
Hays plc 2003 Long Term Co-Investment Plan: 5,000 shares 
 
A further 65,728 shares were also transferred to satisfy the 1x matching share 
element of the Hays plc Deferred Annual Bonus Plan (`DAB'). 
 
Following this transfer, Hays plc holds 109,467,421 Ordinary Shares in 
Treasury. The number of shares in issue is 1,454,629,145 (excluding treasury 
shares).
