RESOLUTIONS PASSED

At the annual general meeting held on 27 July 2007, at the Bridgewater Hall,
Manchester the following resolutions were duly passed as special business.
Resolutions 12, 13, 15 and 16 were passed as ordinary resolutions and
resolutions 14 and 17 as special resolutions.
12 INCREASE IN ORDINARY SHARE CAPITAL
IT WAS RESOLVED
THAT the authorised ordinary share capital of the company is hereby increased
from A[pounds sterling]1,119,000,000 to A[pounds sterling]1,300,000,000 by the creation of an additional
181,000,000 ordinary shares of one pound each.
