Proposals for the modification of Condition 6(3) of the A[pounds sterling]250,000,000 6.25 per
cent. Notes due 2013 (the option of the Noteholders to be redeemed in the event
of a Change of Control) and the insertion of a Noteholder put option on 31
December 2009
NOTICE IS HEREBY GIVEN to the Noteholders that, at the Meeting of such holders
convened by the Notice delivered to the clearing systems on 25 February, 2008
and held on 20 March, 2008, the Extraordinary Resolution set out in such Notice
was duly passed. Accordingly, the modifications referred to in the
Extraordinary Resolution will be implemented.
