Interiors announces termination of Regulation S offering

MOUNT VERNON, N.Y.--(BUSINESS WIRE)--April 18, 1995--Interiors, Inc. (the "Company") (NASDAQ:INTXA, INTXW, INTXZ) today announced that it had terminated its private placement pursuant to Regulation S under the Securities Act of 1933, as amended ("Regulation S") and has arranged for alternative equity financing.
The company sold an aggregate of 235,000 Class A shares of common stock at gross prices of $1.86 and $1.93 per share pursuant to Regulation S. These shares may not be offered or sold in the United States in the absence of registration under or exemption from the registration provisions of the Securities Act.
The company is engaged in the manufacturing and marketing of fine antique reproduction and contemporary picture frames to museums, art galleries, designers, collectors and frame retailers. Through its Interiors Catalog division the company markets a variety of accessories for the home, approximately 60% of which are manufactured by the company. In addition, through its wholly owned subsidiary, Italia Collection, Inc., the company manufactures and sells decorative accessories to retailers, decorators and furniture departments of major department stores. The company does business under the name A.P.F. Master Framemakers in the state of New York.
