Lawrence/Deutsche Bank Securities Corporation and Lehman Brothers are the managers of the U.S. syndicate offering. CS First Boston, Bear Stearns International Limited, Donaldson, Lufkin & Jenrette Securities Corporation, Deutsche Bank Aktiengesellschaft and Lehman Brothers are the lead Managers of the international offering. 1.5 million shares are being purchased by Peter Kiewit Sons' Inc. directly from the company. The company has granted the Underwriters an option to purchase up to an additional 2.275 million shares to cover over-allotments, if any.
