Allergan Board adopts guidelines on significant Corporate Governance Issues; Tamara J. Erickson named to chair the Corporate Governance Committee

IRVINE, Calif.--(BUSINESS WIRE)--July 27, 1995--Allergan Inc. (NYSE: AGN) Thursday announced that its board of directors has adopted written guidelines on significant corporate governance issues.
Tamara J. Erickson, senior vice president and managing director of Arthur D. Little Inc., was named to chair the Corporate Governance Committee of the board. This committee, like the Audit and the Organization & Compensation Committees, will consist entirely of outside directors.
"The board voluntarily initiated the review of the company's corporate governance guidelines to increase the board's effectiveness," said Erickson. "The Corporate Governance Committee will assign board members to various committees and meet annually to assess the board's performance."
The guidelines are similar to those recently adopted by other large public companies and cover such matters as the mix of inside and outside directors, board compensation and performance, committees of the board, regular meetings of outside directors and the formal evaluation of the CEO.
