JACK HENRY & ASSOCIATES INTENDS TO ACQUIRE COMMUNITY BANKING BUSINESS OF BROADWAY & SEYMOUR

Monett, MO and Charlotte, NC--(BUSINESS WIRE)--June 20, 1995-- Jack Henry & Associates, Inc. (NASDAQ: JKHY) and Broadway & Seymour, Inc. (NASDAQ: BSIS) today announced that Jack Henry has signed a Letter of Intent to acquire Broadway & Seymour's community banking business. The total consideration to be paid by Jack Henry is expected to be $12 million. This amount includes fees for certain distribution and marketing rights, along with fees for management services Broadway & Seymour will provide Jack Henry over the 12 month period following the transaction. The transaction is expected to be completed by June 30.
