ELI Eco Logic Inc. Announces Science Applications International Corporation Purchase of Common Shares

ROCKWOOD, ONTARIO--(BUSINESS WIRE)--Sept. 1, 1995-- ECO LOGIC (TSE:ELI ) ELI Eco Logic Inc. ("ECO LOGIC") announced today that its United States strategic marketing partner, Science Applications International Corporation ("SAIC"), has purchased 32,500 common shares of ECO LOGIC at CDN$21.00 per share for an aggregate purchase price of CDN$682,500. In addition, SAIC has been granted an option to purchase 32,500 common shares at CDN$23.50 per share. The option only becomes exercisable by SAIC upon a contract being entered into between ECO LOGIC and the U.S. Department of Energy ("DOE") or the U.S. Department of Defense ("DOD") for the utilization of ECO LOGIC services. ECO LOGIC may require the exercise of the option at any time after its common shares have traded at or above CDN$30.00 per share for twenty consecutive trading days. The option expires December 31, 1996. The purchase is subject to regulatory approval.

SAIC is an employee-owned company with annual revenues of approximately US$1.9 billion, and approximately 20,000 employees in more than 350 offices worldwide. SAIC is a significant DOE and DOD contractor, with business areas that include environment, energy, national security, transportation and systems integration.

They also work with the USEPA in advising on Superfund area remediation activities. SAIC is a principal contractor to the USEPA in providing independent assessment and evaluation of innovative technologies involved with the SITE program. SAIC has a long history of developing environmental business with federal agencies and extensive experience in solving problems at chemically and radioactively contaminated sites. Under the agreement, SAIC will act as the prime contractor and ECO LOGIC will provide its waste processing services as a subcontractor.

ECO LOGIC is in the business of solving toxic chemical problems in a cost effective manner through sound science and innovative technology. Its principal activities include environmental remediation, environmental consulting and research and development related to the destruction of hazardous wastes. ECO LOGIC has developed and patented a hazardous waste destruction process for organic chemicals known as the ECO LOGIC PROCESS which has been incorporated into a patented mobile unit, the ELI DESTRUCTOR.
