Intercell Announces Agreement to Purchase MC Davis Company, Inc

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Aug. 5, 1996--Terry Neild, Executive Vice President of Intercell is pleased to announce an agreement to purchase MC Davis Company, Inc.
The agreement is to acquire the company for a price of One Million, Eight Hundred Thousand Dollars ($1,800,000), payable in cash and stock. MC Davis is an Arizona Corporation, with manufacturing operations in Arizona City and Sonora, Mexico.
MC Davis manufactures power supplies, such as transformers, RF coils, surface mount coils, and a wide variety of inductance products. This company currently has 80 employees. Jerry Tooley, President of MC Davis, has agreed to stay with the company for a three to five year period.
The transaction is expected to close by the first week in October, 1996.
Lou Ross, Intercell's Director of Wireless Products, stated, "MC Davis has a strong base of long-standing customers, some of which are in the cellular industry.
Intercell Corporation is a high technology company commercializing proprietary shielded antenna systems for a broad range of applications including pagers, cellular phones, personal communications devices, satellite phones and specialized mobile radio, and specialized electron tube technology. Intercell's proprietary shielded antenna technology emits a minumum of microwave radiation, thereby reducing the potential for health hazards that may be associated with exposure to microwave radiation.
Terry Neild said that, "A recent field test of this cell phone antenna proves its range is much greater than comparable antennae."
Intercell is currently negotiating with distributors for the retrofit antennas for the United States, Korea, and Australia. Ross added, "MC Davis will provide Intercell with the offshore manufacturing capabilities we need now. We will be manufacturing our retrofit antennae in this operation by mid October, 1996."
Intercell's stock trades under "INCE" on the OTC Electronic Bulletin Board.
