Town & Country reports on status of Class Rings

CHELSEA, Mass.--(BUSINESS WIRE)--Sept. 12, 1996-- Town & Country Corporation (AMEX:TNC) reported today that the parties to the pending transaction involving the Company, CJC Holdings, Inc., and Castle Harlan Partners II, L.P., have reached an agreement with the staff of the Federal Trade Commission by which the original terms and conditions of the transaction, announced in May, have been modified.

Details of the new arrangement will be announced upon final FTC approval.

The Company reported in May that it had entered into an agreement with Class Rings, Inc., a new company formed by Castle Harlan Partners II, L.P. Pursuant to that agreement, the class ring operations of CJC Holdings and Town & Country would be combined to form Class Rings, Inc.

The proposed transaction is subject to financing.

Town & Country Corporation is an international manufacturer of fine jewelry, scholastic and educational products, with facilities in Kentucky, Massachusetts, New York, Texas, Hong Kong, and Bangkok, Thailand. Town & Country currently has approximately 2,500 employees worldwide.
