SoftQuad Completes Acquisition of Alpha Corporation

TORONTO--(BUSINESS WIRE)--Feb. 3, 1997--(NASDAQ SWEBF, TSE SKI) SoftQuad International announced today that it has completed the previously announced acquisition of Alpha Software Corporation. All of the existing shares of Alpha Software were acquired by SoftQuad on January 31, 1997 for a total consideration of 2.1 million common shares of SoftQuad and US$700,000.
Alpha Software Corporation is a leader in data base software solutions for business users.
The SoftQuad shares issued in connection with the Alpha acquisition transaction have not been registered under the Securities Act of 1933, and may not be offered or sold absent registration or an applicable exemption from registration requirements.
