Total Renal Care, Renal Treatment Centers Receive Antitrust Clearance On Merger; Total Renal Care and Renal Treatment Centers Each Set Record Date

TORRANCE, Calif.--(BUSINESS WIRE)--Jan. 13, 1998--Total Renal Care Holdings Inc. (NYSE:TRL) and Renal Treatment Centers Inc. (NYSE:RXT) Tuesday announced that on Jan. 5, 1998, the Federal Trade Commission and the Department of Justice granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act with respect to the pending merger of the two companies.
In addition, Total Renal Care and Renal Treatment Centers announced that each has set Jan. 20, 1998, as the record date for the determination of the TRL and RXT stockholders who will be entitled to vote on matters with respect to the merger.

On Nov. 19, 1997, the companies announced that they had entered into a definitive agreement to merge in a stock-for-stock transaction in which TRL will exchange 1.335 of its shares for each RXT share in a tax-free exchange.
Renal Treatment Centers provides dialysis treatments and ancillary services to patients suffering from chronic kidney failure, primarily in its free-standing outpatient dialysis treatment centers or in the patient's home. RXT operates a total of 180 dialysis centers in 24 states, Washington, D.C. and the Republic of Argentina. In these centers, RXT provides dialysis services for approximately 13,060 patients.
