Lycos, Inc. Announces 2-For-1 Stock Split

WALTHAM, Mass.--(BUSINESS WIRE)--July 6, 1998--Lycos, Inc. (NASDAQ:LCOS) today announced that its Board of Directors has approved a 2-for-1 stock split payable to shareholders of record as of the close of business on August 14, 1998. The stock split will be effected in the form of a stock dividend of one share of Lycos common stock for each share of common stock outstanding on the record date. The split is subject to shareholder approval of an amendment to the Company's Certificate of Incorporation to increase the Company's authorized common stock, which is currently insufficient to permit consummation of the split. Upon shareholder approval of the amendment, certificates representing additional shares as a result of the stock split will be distributed in August 1998.
The stock split is designed to improve trading liquidity and broaden ownership of the Company's common shares. After the stock split, there will be approximately 38,000,000 common shares outstanding.
