Funding Agreement Signed With Swancorp Equities Inc. to Provide Over $15 Million in Funding for Earth Search Sciences, Inc

MCCALL, Idaho--(BUSINESS WIRE)--March 31, 1998--Earth Search (OTC Bulletin Board:EDIS) Earth Search Sciences, Inc. (OTC BB "EDIS"), today announced the signing of a major funding agreement with Swancorp Equities Inc. of Calgary, Alberta, Canada.

"As Earth Search moves from its development stages into an operating company, capital is required to commercialize our PROBE remote sensing technology and to maximize our global marketing plans. The funding agreement contemplates $5 million in direct private placement with an additional $5 million through the exercise of attached warrants. A subsequent funding in excess of $5 million will be provided by a combination of shares and warrants offered with varying exercise prices.

Swancorp anticipates that the first $1 million of the funding will be completed April 15, 1998 followed by $4 million by May 31, 1998. Following the exercise of warrants, Swancorp will arrange subsequent funding in excess of $5 million to enable Earth Search to commercialize the next generation of the PROBE and to acquire the first of three Phoenix FanJet aircraft. In this regard, Earth Search has entered into a letter of intent to take delivery of the Phoenix FanJets in 1999, 2000 and 2001. The Phoenix FanJet is the ideal airborne platform for the PROBE sensors as it has the cruise speed (400 MPH), the stall speed (70 MPH), the range, and the load capacity that Earth Search has been looking for. The single engine jet, manufactured by Alberta Aerospace Corporation, will operate for less than $200 per hour.
