RED BANK, N.J./MONTREAL--(BUSINESS WIRE)--April 19, 1999--
Total Entertainment Inc. (OTC Bulletin Board: TTLN) Announced today that the company intends to voluntarily comply early with the United States Securities & Exchange Commission, to the National Association of Securities Dealers, Inc., approved Microcap Initiatives - Amendments, Rules 6530 and 6540.
Although the company has until July 4, 2000 to comply with the new rules, the company expects to file Securities & Exchange Commission Form 10 on or about June 15, 1999. Securities & Exchange Commission Form 10 includes the year-end audited financial statements, interim financial statements, and company history. The company will, upon filing and effectiveness of the Form 10, become a full reporting company under the Securities Exchange Act of 1934.
The company also announced today it has elected to participate in Standard & Poor's Market Access Program, that includes Standard & Poor's Corporation Records, Market Scope, Stock Guide Services and Standard & Poor's web-site distribution. Standard & Poor's Corporation Records is also known as a recognized securities manual in many states for "Blue Sky/Manual Exemption" trading.
