Miner Communications Inc. Announces Acquisition by Desk Corp

TEMPE, Ariz.--(BUSINESS WIRE)--April 23, 1999--

Miner Communications Inc. ("Miner") Friday announced a significant transaction.

Miner's board of directors, pending shareholder approval, have agreed to a one-for-one share exchange with Desk Corp. ("Desk"), a public company. Desk will issue 10,331,777 shares to Miner shareholders leaving 95% of the outstanding shares with the original Miner shareholders.

BancPro Inc. (OTC BB:BCPO), a publicly traded company, owns 1,000,291 common shares.

In a simultaneous resolution and as part of the transaction, Desk has replaced its board of directors with the existing Miner Communications directors, and changed the name of the company to Miner Internet Technologies & Communications Inc. The public trading symbol for Miner Internet Technology & Communications Inc. is MYNR.

The new name, Miner Internet Technologies & Communications Inc., describes Miner's market focus. MYNR is an Internet production, Internet sales, and Internet and electronic publishing company. With products like www.RoadShowOnDemand.com, www.talkingbusinesscard.com, and Prospectus One Miner serves companies' Internet production and financial publication needs.
