Power-Cell Inc. Files Preliminary Proxy Statement With the Securities Exchange Commission

DALLAS--(BUSINESS WIRE)--May 11, 1999--

Mr. Jim Rambin, president of Power-Cell (OTC BB:POCE) and Mr. Thomas Baker president of Park Pharmacy Corporation announced today that Power-Cell has filed a form 14A Proxy Statement with the Securities Exchange Commission (SEC). The Proxy Statement calls for a special Shareholders Meeting on or about June 17, 1999, for holders of record as of April 30, 1999.

At the Special Meeting the Shareholders of the Company are being ask to consider and vote on:

1. Approval of a Stock Purchase Agreement for the Company to acquire 100% of the outstanding stock of Park Pharmacy Corporation.

2. Amending the Company's Articles of Incorporation to change its name to Park Pharmacy Corporation.

3. Amending the Company's Articles to create a new class of Non Earning Preferred Stock.

4. Replacement of the Power-Cell Board of Directors with the Board of Directors of Park Pharmacy Corporation.
