Workflow Management Announces a PurchasePro.com Alignment and Intentions for an iGetSmart.com IPO

PALM BEACH, Fla.--(BUSINESS WIRE)--Nov. 2, 1999--
Workflow Management, Inc. (Nasdaq:WORK) today makes three significant announcements, namely:
-- The Workflow Management Board of Directors has authorized
management to proceed with an initial public offering of the
iGetSmart.com, Inc. subsidiary and subsequent tax-free spin-off to
Workflow's shareholders.
-- The iGetSmart.com business model will include licensing other
printers and print distributors as Value Added Resellers of the
iGetSmart.com print and supply chain management system.
-- A joint venture agreement has been signed with PurchasePro.com,Inc.
(Nasdaq:PPRO), a leading provider of Internet business-to-business
(B2B) services. In it, iGetSmart.com is designated as the Preferred
Provider for print and graphic arts on the rapidly growing
PurchasePro.com B2B network.
Tom D'Agostino, Sr., Chairman and Chief Executive Officer of Workflow Management, commented, "This is a fantastic day for the iGetSmart.com subsidiary and for Workflow shareholders. Under the terms of the PurchasePro.com agreement, Workflow's subsidiary, iGetSmart.com, Inc., will be featured on the PurchasePro.com marketplace as the preferred provider of business printing needs - including corporate stationery, business cards and ad specialty items. Additionally, PurchasePro.com will be prominently featured on the iGetSmart.com website - providing Workflow customers with "click-through" access to the co-branded PurchasePro.com browser-based e-commerce marketplace.
"This strategic alliance with Workflow Management will provide the iGetSmart.com users convenient, browser-based access to the revolutionary PurchasePro.com e-marketplace," said Charles Johnson, Jr., Chairman and Chief Executive Officer of PurchasePro.com, Inc. "Additionally, this agreement will allow us to add Workflow's online custom business printing services to our rapidly expanding e-commerce marketplace network."
Both companies expect this relationship to contribute to increased revenues through cross promotion and cross referral activities, as well as through revenue sharing arrangements.
When asked about the day's announcements, Steve Gibson, Chief Financial Officer of Workflow Management responded, "We see this as an incredibly positive day for Workflow and iGetSmart.com. We will be proceeding as quickly as possible with the intention of completing the initial public offering in the first calendar quarter of 2000. In addition, the Board has directed management to complete a full tax-free spin-off to Workflow's shareholders as soon as is practical following the IPO. We will be making further announcements regarding financial strategies and relationships as early as allowable, within the constraints of federal securities laws."
The foregoing announcements will also be made later this morning at the Prudential Securities Technology Conference in New York City. As recognized leaders in the emerging electronic B2B marketplace, both iGetSmart.com and PurchasePro.com are featured presenters.
