Rainmaker Systems Files Registration Statement for Initial Public Offering

SCOTTS VALLEY, Calif.--(BUSINESS WIRE)--Oct. 18, 1999--
Rainmaker Systems, Inc. announced today that it has filed a registration statement with the Securities and Exchange Commission for a proposed initial public offering of 5,000,000 shares of its common stock.
The Company has granted the underwriters a 30-day option to purchase up to 750,000 additional shares solely to cover over-allotments, if any. The offering price is anticipated to be between $8.00 and $10.00 per share. All of the 5,000,000 shares being offered are being sold by Rainmaker Systems. The offering will be managed by Donaldson, Lufkin & Jenrette, Thomas Weisel Partners LLC, and SG Cowen Securities Corporation.
Rainmaker provides Customer Relationship Management (CRM) services to software and other technology companies. The Company designs and implements sophisticated sales, marketing and other customer relationship services using the Internet and other communications channels to sell an renew software subscriptions, support and service contracts, training services, licenses and upgrades.
A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
