Central Network Communications Inc., Completes the Acquisition of SoftDimension Inc

SoftDimension Inc.'s President, Mr. Marc Letellier, Announces

Signed Distribution Partnership Agreements with CFG Inc.

and Informatique DBD Inc.

Central Network Communications Inc. (Pink Sheets:CNCW), an e-Solution provider, today announced the completion of the acquisition of SoftDimension Inc., through its wholly owned subsidiary CNC Canada Inc.

This concludes the transaction initiated by a purchase agreement of SoftDimension Inc. in August 2000.

Meeting the HR and Payroll management needs of the Canadian Small and Medium size Enterprises (SME's) and healthcare sector, SoftDimension's solutions can run in-house or be outsourced through an Application Service Provider (ASP). The modules can be used separately or together and complement CNC's hospital cost management solutions. Through its distribution strategy, SoftDimension Inc. will bring to the market value-added solutions, including management services such as e-Learning, business reengineering, best HR practices and training.

Albert Delmar, President and CEO of CNC stated that "This acquisition will give CNC the tools to adress the needs of a continually evolving industry in which dynamic human resource management is a key success factor in facing the challenges of the new economy." Delmar added "This will also bring additional revenues of more than 1.5 million USD over the next 2 years to CNC."

Along those lines, Mr. Letellier has already completed Distribution Partnership Agreements with CFG Inc. and DBD Informatique Inc. These business partners will sell, implement and provide technical support of SoftDimension's suite of products to their corporate clients. CFG Inc. is a Canadian consulting group offering enterprise management services and produces over 600 public and corporate training sessions annually to several thousands of managers and professionals. CFG Inc. will develop the e-Learning content for SoftDimension's products.

DBD Informatique Inc. is a Canadian computer manufacturer which will bundle SoftDimension's software solutions as a value-added business solution through their distribution channels in France, Bulgaria, South Africa and Lebanon. In addition to their international market, DBD Informatique is well established in Quebec with clients in the private, municipal and educational sectors.
