ECsoft Group Strategic Divestment of Managed Support Services Business

ECsoft Group plc ("ECsoft" or the "Company"; London: ECS, Nasdaq: ECSG) the independent E-business consultancy, systems integrator and IT solutions provider has today announced divestment of its Managed Support Services Business in the UK, simultaneous with signature of a strategic cooperation agreement with the purchaser, PinkRoccade NV.
Under the structure and terms of the deal, worth up to (pound)9 million in cash, the business assets and 120 employees of ECsoft's managed support services business will transfer on 1 March 2001 to Pink Elephant, PinkRoccade's UK subsidiary. ECsoft will receive an initial cash payment of (pound)4 million, with a further (pound)4.75 million available during the course of 2001, (of which (pound)4 million will be held in escrow).
ECsoft will initially continue to contract directly with its managed support services clients, outsourcing the related work to Pink Elephant. During the course of 2001, all client contracts will be passed across to Pink Elephant, on a timetable agreed between ECsoft, Pink Elephant and each client.
The cooperation agreement enables ECsoft to further develop and strengthen its solutions consultancy business, with future support services business managed by a specialist in this field, Pink Elephant. The two companies have jointly agreed a plan to ensure seamless transfer of the business and a smooth transition for ECsoft's 120 staff. Pink Elephant and ECsoft will be actively working together to ensure that they maximise the business benefits of the synergy between the two companies, as well as providing a high quality service to clients.

In addition, the transaction proceeds will add to our existing cash reserves, in support of future IT solutions business acquisitions".
