VersaCOM Announces Appointment of New Accounting Firm and

New Legal Representation

VersaCOM International, Inc. (OTCBB:VERCE) announced today that it will meet the Security and Exchange Commission's (SEC) guidelines for filing the required Form 10K, thus removing the letter "e" that was placed on its symbol yesterday. The cause for the delay is attributable to VersaCOM appointing the firm of Kaufman and Rossin to be its accounting firm of record as well as selecting the legal firm of Adorno and Zeder to represent the firm in all legal matters.

"The delay in filing the required SEC documents is solely a result of the additional time required by our new accountants and attorneys to review the financial and legal information provided to them by VersaCOM. The review will be completed soon and documents will be filled within 21 days," stated Fred Schwartz, CEO and President of VersaCOM.

For Adorno and Zeder, J.B. Grossman and Greg St. John, both shareholders in the law firm, will be responsible for all legal matters that may arise. Mr. Grossman has practiced law for nearly 30 years, specializing in securities, commodity futures and financial law, partnerships and limited liability matters. Prior to joining Adorno and Zeder, Mr. Grossman was the senior partner in a Fort Lauderdale firm bearing his name and a Special Counsel to the New York Stock Exchange and Trial Attorney with the Division of Enforcement for Commodities Futures Trading Commission. He has had a variety of other experience in financial aspects of the law and has been associated with several leading legal firms. In addition to his duties at Adorno and Zeder, Mr. Grossman is an Adjunct Professor at Nova Southwestern Law School. Mr. Grossman received his L.L.M., Masters of Law degree from Georgetown University Law Center in 1974 and his J.D. degree in 1972 from the University of Miami School of Law.

Mr. St. John is a member of the firm's Transactions Department and has been responsible for foreign transactions. He provides sophisticated business and tax planning to U.S. companies and domestic investors in structuring foreign businesses. He is acting General Counsel to BellSouth International Wireless Services and a former General Counsel to Florida's then largest HMO. Mr. St. John received his J.D. degree from Nova University in 1977 and his L.L.M., Taxation (1984) and Ocean and Coastal Law (1979), both from the University of Miami.
