NetCommerce Finalizes Stock Dividend Distribution for EasySearchResults

Pursuant to its Notice of Dividend filed with NASDAQ Market Operations on February 6, 2001, NetCommerce, Inc., ("NetCommerce"), (OTCBB:NEET) (http://www.neetstock.com), is issuing to qualified shareholders of NetCommerce, one share of EasySearchResults.com, Inc., ("EasySearch"), common stock for each nine shares of NetCommerce stock owned. This filing also includes information that sets the date of record for determining holders of record for this dividend as of February 16, 2001.

Toward its plan of becoming a fully reporting, publicly traded company, management is also filing the requisite forms, to cause EasySearch to become a reporting company and consequently be required to file audited quarterly and annual financial reports with the Securities and Exchange Commission ("SEC"). All financial reporting will be available online for shareholder review.

EasySearch is targeting May 15, 2001 to file a Form SB2 with the SEC. Upon approval of this filing by the SEC, the EasySearch stock distributed will be registered and able to be freely traded on the public stock markets. It is projected that the approval of the SB2 filing will take approximately 90 days.
