The Bank of New York Company, Inc. today announced that its chief executive officer and chief financial officer have certified the accuracy of its recent Securities and Exchange Commission (SEC) filings and complied with both the June 27, 2002, SEC Order and the requirements of the Sarbanes-Oxley Act of 2002.

Thomas A. Renyi, chairman and chief executive officer, and Bruce W. Van Saun, senior executive vice president and chief financial officer, have signed sworn statements certifying The Bank of New York Company, Inc.'s 2001 Annual Report on Form 10-K, its quarterly reports on Form 10-Q for the first and second quarters of 2002 and the other reports covered by the SEC Order. In addition, Messrs. Renyi and Van Saun have also signed certifications that satisfy the requirements in the Sarbanes-Oxley Act with respect to The Bank of New York Company, Inc.'s Form 10-Q for the second quarter of 2002. All of the certifications have been transmitted to the SEC.
