SAN DIEGO--(BUSINESS WIRE)--Aug. 9, 2002

U.S. Laboratories Inc. (Nasdaq: USLB), a national and international quality control specialty services company to the construction, energy, public work, defense and related engineering and architectural design industries, earlier today reported second quarter results and announced that the Company had entered into an agreement under which a subsidiary of Bureau Veritas would commence a tender offer for all of the outstanding shares of the Company's Common Stock. The Company announced that its conference call previously scheduled for Friday, August 9, 2002 at 11 a.m. eastern time to discuss second quarter results has been cancelled.

This announcement is neither an offer to purchase nor a solicitation of an offer to sell securities of U.S. Laboratories Inc.
