Terremark to Receive $10.2 Million Investment From TD Global Finance -TDGF-

MIAMI--(BUSINESS WIRE)--July 23, 2002

Terremark Worldwide, Inc. (AMEX:TWW) the only carrier-neutral operator of Tier-1 network access points (NAPs) and a provider of Internet infrastructure and managed services, announced today that on Friday it exercised its right to sell $10.2 million of its common stock to TD Global Finance (TDGF), pursuant to an agreement previously disclosed in Terremark's Annual Report Form 10-K, filed with the SEC on July 15, 2002. This transaction resulted in the issuance of approximately 17.6 million shares, at $0.58 per share. In addition, Terremark issued TDGF three call warrants that grant it the right to purchase up to an additional 3.5 million shares within the next six months at an average price of $0.67 per share.

The Company further announced that it has filed a registration statement with the SEC with respect to these shares. Upon the SEC declaring the registration effective, the Company will receive the $10.2 million from TDGF. When available, copies of the prospectus relating to this offering may be obtained from Terremark.

A registration statement relating to these securities has been filed with the U.S. Securities and Exchange Commission but has not yet become effective.
