Primavera Systems to Acquire Evolve Software; Combined Company Will Offer Industry's Most Complete Project Portfolio Management Solution

Primavera Systems, the leading provider of project management, execution and control software and services, has entered into a definitive agreement to acquire substantially all the assets, and the customer licenses and contracts, of Evolve Software (NASDAQ:EVLV), the leading provider of service delivery automation software. The combined private company will offer the most complete set of project portfolio management solutions for both project- and service-oriented organizations. The companies anticipate the transaction will close during the quarter ending June 30, 2003.

Under the terms of the agreement, Primavera will purchase the assets of Evolve. Terms are disclosed in the proxy statement.
The acquisition has been approved unanimously by the boards of directors of each company and is subject to customary closing conditions.
