CMGI Reports Restricted Stock Grant Under Nasdaq Marketplace Rule 4350

WALTHAM, Mass. -- CMGI, Inc. (Nasdaq: CMGI) today announced, pursuant to Nasdaq Marketplace Rule 4350(i)(1)(A)(iv), that it has made an inducement restricted stock award to its new President and Chief Executive Officer, Joseph C. Lawler. This award covers 1,800,000 shares of CMGI common stock, with the purchase price deemed to have been paid in kind through Mr. Lawler's agreement to employment by the Company, and such shares shall be subject to a forfeiture provision in favor of the Company, which provision shall lapse with respect to 20% of the shares covered thereby on each of the first five anniversaries of the date of grant. This award was approved by the Board of Directors of the Company, and is in addition to the option to purchase 2,700,000 shares of CMGI common stock at an exercise price of $1.25 per share granted to Mr. Lawler under the Company's established 2000 Stock Incentive Plan.
