eCom Spin-Offs File Two Registration Statements with the SEC

eCom eCom.com, Inc. (OTCBB:ECEC) recently filed Form 10-SB 12(g) Registration Statements with the Securities and Exchange Commission regarding the spin-off of two of its subsidiaries, American Capital Holdings, Inc. (ACH) and Freedom 4 Wireless, Inc. (F4W). The Form 10-SB will become effective 60 days after filing, by operation of law, unless otherwise recommended by the SEC.

eCom, which has spun off its ten wholly owned subsidiaries as independent public companies, plans to now expand the remaining spin-offs by acquiring established businesses similar to ACH and F4W. This is being done for the benefit of its shareholders, who will receive shares in each spin-off company as they occur.

To be eligible for spin-off shares, one must be a current shareholder of eCom (ECEC) at the time each spin-off is finalized. Interested investors are advised that this most likely will be a long term process as completion dates are not possible to predict. For example, ACH and F4W spin-offs which were started in December 2003 are still available to new shareholders, since they have not yet reached a date of completion. However, future spin-offs will take less time.

Chairman of the eCom Board of Directors, David J. Panaia said, "This spin-off plan marks the beginning of a new era for all eCom shareholders. This is an important step towards our goal of returning value to our shareholders." Panaia further stated, "Shareholders must realize that this vast undertaking will take some time to implement the plan to a point of total completion. However, the plan when completed should prove to be a very diverse investment for the benefit of all patient eCom shareholders."

As soon as the Securities and Exchange Commission declares the registration statements effective, ACH and F4W plan to make application for trading on the American Stock Exchange.
