Hemagen Extends Exchange Offer for 8% Senior Subordinated Secured Convertible Notes Due April 2005

COLUMBIA, Md. -- Hemagen Diagnostics, Inc., (NASDAQ:HMGN.OB) announced today that it has extended its offer to exchange $6,090,000 principal amount of its 8% Senior Subordinated Secured Convertible Notes due 2005 (the "Notes") for common stock and Modified Notes. The exchange offer, as previously extended, was scheduled to expire at 12:00 midnight, Eastern Time, on November 12, 2004. The new expiration date for the exchange offer is 12:00 midnight, Eastern Time, on November 19, 2004, unless further extended or earlier terminated.
To date, $5,275,000 or 87% of the principal amount of the Notes have been deposited for exchange.
This press release is neither an offer to purchase nor a solicitation of an offer to sell securities of Hemagen Diagnostics, Inc.
