World Health Alternatives, Inc. Acquires Assets of Travel Nurse Solutions, Inc.; Southeast Medical Staffing Company Indicates Currently Achieving $20 Million Annualized Run Rate

PITTSBURGH -- World Health Alternatives, Inc. (OTC BB: WHAI), a premier medical staffing company that provides medical, professional, and administrative staffing services to the healthcare industry, announced today that it has completed its acquisition of substantially all of the assets of Travel Nurse Solutions, Inc. ("TNS"), a privately held medical staffing company headquartered in Birmingham, Alabama.
TNS, which specializes in nurse staffing, has a database of approximately 8,000 nursing professionals and serves approximately 350 medical facilities from its offices in Birmingham and Mobile, Alabama and Cincinnati, Ohio. The addition of these offices will increase the number of World Health offices to twelve. TNS indicates that its run rate over the third quarter of this year was approximately $20 million in annual sales, with approximately $16 million in revenues expected for the fiscal year ending December 31, 2004, and that its operations have been profitable throughout the year. There can be no assurances that such run rate or the projected revenues for the fiscal year ending December 31, 2004 will be realized.

The terms of the transaction include, in part, an immediate cash payment of $5,621,549, 747,950 shares of the Company's restricted common stock and the assumption of TNS's existing operating debt of approximately $680,000. The transaction also includes earn-out provisions over the next two years pursuant to which the Company could be required to issue shares of its restricted common stock worth up to an aggregate of $2.5 million if certain earnings goals are met during the first and second twelve-month periods after the transaction's closing date. TNS's current employees and its entire management team will become employees of World Health.
