FRV Media Reaches Agreement to Acquire 'Distribution La Fete'

Business Wire, April 11, 2005

MONTREAL -- FRV Media Inc. ("FRV Media") (TSX VENTURE:FRV) today announces that it has reached an agreement to acquire the assets of Distribution La Fete inc. ("DLF"). These assets, following the agreement of the rightful owners, will become the property of FRV Media's wholly-owned subsidiary FRV Media International Inc. ("FRV International"). This acquisition triggers the deployment process of FRV Media's distribution and international exporting activities that the company plans to achieve following last fall's joint, $6 million investment by the Solidarity Fund QFL (the "Solidarity Fund") and the Fonds de developpement de la CSN pour la cooperation et l'emploi ("Fondaction CSN").

The final agreement is subject to customary conditions with respect to the acquisition of catalogue rights as well as to the agreement of the third parties concerned.

In addition to acquiring the assets, FRV Media will retain DLF's employees.

Distribution La Fete: a quality library and a first-rate team

Founded by Rock Demers over 20 years ago, DLF and its team are well known on the international audiovisual market, with clients in Canada, the U.S., Latin America, Europe, the Middle East, Africa and Asia. Average five-year sales are in the order of $2.5 million.

DLF's main asset is a catalogue of more than 150 titles totalling hundreds of hours of audiovisual programming and encompassing a wide variety of genres: feature films, drama series, animated series and documentaries.

The highlight of the catalogue is the 21 feature films in the Tales for All collection (The Dog Who Stopped the War, Bach and Broccoli, The Peanut Butter Solution, Tadpole and the Whale, Tommy Tricker and the Stamp Traveller, as well as the current release Daniel and The Superdogs), which has garnered more than 190 awards worldwide. The DLF catalogue also includes documentaries and documentary series (Pierre Elliott Trudeau: Memoirs, Fire Station, Why Havel?, etc.), animated works (Iris the Happy Professor, Little Star, Turtle Island, etc.), dramatic series (Gold, More Tales of the City, etc.) and feature films (Mrs. Wheelbarrow, Silencing the Guns, La vie d'un heros, etc.).

In addition to this high-quality asset, FRV International inherits DLF's 4-member team with its solid expertise in the acquisition and marketing of audiovisual works and rights, as well as a client base and a network of partners that spans the globe.

Stepping up the development of FRV Media International

According to FRV Media president and CEO Richard Laferriere: "This acquisition clearly gives us a strategic advantage by allowing us to accelerate the development of our distribution and export activities. We're getting an extensive, high-calibre catalogue, a competent, seasoned team, a network and a market. All this means immediate earnings. Moreover, DLF will provide us with a renowned platform in the youth sector that will make our planned $6 million investment in distribution and export development more productive."

"The timing was perfect for FRV Media's offer", said Rock Demers. "On the one hand, we were in the process of financially restructuring the company, and on the other hand, it will allow me, with a scaled-down team, to focus my attention on producing a few additional films before I retire. Nothing is more pleasant than to be assured that one's work not only will live on, but is also in good hands."
