Particle Drilling Technologies Inc. Announces Filing of Registration Statement

HOUSTON -- Particle Drilling Technologies Inc. (OTC:PDRT.OB) announced today that it has filed a registration statement to register the resale, from time to time, of 12,631,538 shares of its common stock by the selling stockholders named in the registration statement. The registration statement was filed pursuant to registration rights that the company had granted to certain of its stockholders.

As described in the company's press release dated February 9, 2005, the company granted warrants to purchase 2,700,000 shares of common stock in the aggregate at an exercise price of $2.00 per share to the investors in its private placement that was consummated on February 9, 2005. As a result of the filing of the registration statement, warrants to purchase 1,350,000 shares of common stock that the company had previously granted as described above will no longer vest and are terminated.
