Andromeda To Acquire Tri-Media Integrated Marketing Technologies

WELLAND, Ontario -- Albert Iannantuono, President & CEO of Andromeda Media Capital Corporation Limited (OTHER OTC:ADMPF.PK) announced today that the company is seeking to acquire Tri-Media Integrated Marketing Technologies, Inc., making it a wholly owned subsidiary of Andromeda and sister firm to e-commatrix.com(R) inc.

Andromeda has submitted its intent to acquire, subject to finalizing the financial terms and receiving shareholder approval at the annual and special shareholder meeting scheduled for March 29, 2005. Since Albert Iannantuono is a major shareholder, officer and director of both Andromeda and Tri-Media, this transaction is recognized as non-arms length and therefore subject to arms length independent valuation by BDO Dunwoody. Details of the transaction will be published in the meeting circular to be released on March 7, 2005.

Tri-Media has carried on the business of Tri-Media Marketing & Publicity Inc., an integrated marketing communications firm operating in Welland, Ontario since 1986. Tri-Media Marketing & Publicity Inc. was the first to join the e-commatrix.com(R) licensed partner network in 1999 and Tri-Media continues in that role as the single largest contributor to the licensed partner network. The firm has also been instrumental in helping to develop the channel partner network. Working together with e-commatrix.com inc., the firm offers a full range of traditional and digital marketing solutions to clients across North America.

Most recently, Tri-Media participated in a consortium that was awarded a performance-based contract to develop a campground reservation system for Canada's national parks. The seven-year contract is valued at $10.7 million(i). Assuming the contract runs to maturity and that Tri-Media performs, and we have no reason to expect otherwise, Tri-Media's share from this contract would be approximately 40 per cent of consortium revenues.

The system has been developed, delivered and tested and will launch nationwide in March 2005. At this time, campers planning a stay at a national park of Canada campground will be able to reserve a campsite online or through a national call centre before they leave home. The new system will give campers an opportunity to plan their trip by guaranteeing that a campsite will be waiting for them in the campground of their choice when they arrive at their destination.

In addition, Tri-Media has undergone a recent restructuring and is now lead by two partners, Albert Iannantuono and Anthony Annunziata, the former Executive Director of Marketing for Casino Niagara/Niagara Fallsview Casino Resort.

Annunziata currently serves as Vice Chair of the Ontario Tourism Marketing Partnerships and brings a wealth of experience in the hospitality/accommodation and attraction sectors. He will help to enhance Tri-Media's strengths in these areas, and upon completion of the acquisition of Tri-Media, will bring these strengths to e-commatrix.com(R) as well.
