Innophos Granted Summary Judgment in Mexican Tax Claim Dispute with Rhodia

CRANBURY, N.J. -- A New York State court ruled today that the duties and other charges the Mexican government claims are owed by Innophos' Mexican subsidiary are "Taxes" as defined in a purchase and sale agreement between Innophos and Rhodia, pursuant to which Innophos was purchased on August 13, 2004. The purchase and sale agreement provides that Innophos, Inc. is entitled to full indemnification for all pre-closing Taxes. The court also ruled that Rhodia is responsible for posting any security required under Mexican law to protect Innophos' rights while challenging the claims through the Mexican legal system as well as for any damages suffered by Innophos should Rhodia fail to satisfy any of its security obligations.
On December 16, 2004, Innophos sued Rhodia in New York State court as a result of claims received by the subsidiary, Innophos Fosfatados, on November 1, 2004 from the National Waters Commission of Mexico for possible errors relating to payment of governmental duties, taxes and other charges for the extraction and use of water from national waterways from 1998 through 2002 at the Company's Coatzacoalcos, Veracruz, Mexico manufacturing plant.
